How title is held, how your interest is protected, and the distinction between legal, beneficial and investment ownership.

Who holds legal title to the property?

Under the current preferred structure, the relevant Blockx operating entity (for example, Blockx Fractional Ltd) is the single registered legal owner on the title deed. This is Option 1 of the ownership model: Blockx as legal owner, with investors holding their interests through a Fraction Holder Agreement rather than being individually named on the title.

If Blockx holds legal title, what actually protects my investment?

Your protection comes from the Fraction Holder Agreement itself, which is a legally binding contract. It defines your ownership percentage, your proportional rental income, voting rights on major decisions, the right to transfer or exit your position, any applicable usage rights, and a set of investor safeguards. The FHA also provides for dispute resolution (including arbitration), transfer procedures, default remedies, and compliance with applicable Gambian law.

What is the difference between legal ownership, beneficial ownership and investment ownership?

These are three distinct concepts. Legal ownership is whose name sits on the title deed — under the current structure, this is the Blockx entity. Beneficial ownership is who economically benefits from the asset — as a fraction holder, you hold a beneficial interest proportional to your fraction, meaning the income and appreciation flow to you even though you are not named on the title. Investment ownership refers to your contractual position as defined in the Fraction Holder Agreement — your percentage stake, your rights, and your entitlements. Management and governance are separate again: Blockx manages the asset operationally, while major decisions affecting fraction holders are subject to the voting rights defined in the FHA.

Does Blockx have responsibilities as legal owner, or can it act unilaterally?

As registered legal owner, Blockx holds title, manages the property, ensures regulatory compliance, and is contractually obligated to protect investor interests as defined in the FHA. Major decisions affecting fraction holders are subject to the voting rights and protections set out in the agreement — Blockx does not have unrestricted discretion over jointly held assets.

What governs disputes between Blockx and fraction holders, or between fraction holders themselves?

The Fraction Holder Agreement includes defined dispute resolution provisions, including arbitration, along with default remedies and compliance obligations under applicable law. Investors should review these provisions in the specific FHA for each offering, as terms may be refined per transaction.

Is my investment registered anywhere, or is it only a private contract?

Your specific fraction is evidenced through the Fraction Holder Agreement, a legally binding private contract between you and the Blockx entity holding title. Whether additional registration mechanisms (such as a local investor register or, in future, a digital record) apply will depend on the jurisdiction and the specific offering; investors should confirm the applicable arrangement before committing capital.
